PUB PERKS TERMS AND CONDITIONS

1. INTRODUCTION
1.1. The Pub Perks Reward Scheme (“Reward Scheme”) has been created by and is owned by Star Pubs & Bars Limited (“we”, “us” “our”). You can access the Reward Scheme via https://pubperks.co.uk (“Reward Scheme Website”).

1.2. As a user of the Reward Scheme (“you”), these terms of use (the “Reward Scheme Terms”) constitute a binding legal agreement between us and you which govern your use of the Reward Scheme. These Reward Scheme Terms must be read together with our Terms of Use of the Reward Scheme Website and our Privacy Policy both of which can be found on the Reward Scheme Website. In addition, these Reward Scheme Terms will apply in conjunction with any terms and conditions for current benefits and offer terms (“Offer Terms”).

1.3. By registering on the Reward Scheme and then using it, you acknowledge that you have read and accepted these Reward Scheme Terms, that you understand and agree to be bound by these Reward Scheme Terms, you are of legal age to form a binding contract with us, and that you have the authority to enter into these Reward Scheme Terms. You must be over 18 years of age to register in the Reward Scheme.

1.4. We reserve the right to amend these Reward Scheme Terms at any time and any such amendment shall be effective immediately upon the uploading of the amended Reward Scheme Terms on the Reward Scheme Website. You are therefore advised to regularly read the Reward Scheme Terms on the Reward Scheme Website for possible changes.

2. ACCOUNT INFORMATION
2.1. In order to become a participant on the Reward Scheme, you must be a UK, Channel Island or Isle of Man resident aged 18 or over and you will need to request a card in a participating outlet then register your card and create an account on the Reward Scheme Website (“Account”) by providing the following information:
(i) First name and last name;
(ii) Full date of birth; and
(iii) email address.

2.2. You may only register one (1) Account per user. Existing card holders will automatically be registered in the Reward Scheme.

2.3. You are solely responsible for safeguarding and maintaining the confidentiality of your Account. You agree not to:
(i) share or permit others to use your Account; or
(ii) assign or transfer your Account to any other person or entity.

2.4. You shall be bound by and be responsible for all activity transmitted or conducted through the use of your Account and/or Reward Scheme Card. We shall have no responsibility or liability for any loss, damage, cost, expenses, or liabilities arising as a result of and/ or in connection with the wrongful or fraudulent use of your Account and/or Reward Scheme Card. In the event you suspect your Account and/or Reward Scheme Card has been compromised, you shall immediately contact us.

2.5. Where fraudulent or wrongful use of an Account and/or Reward Scheme Card is detected or suspected, we reserve the right within our sole discretion, without liability, and without prejudice to any other rights and remedies under these Reward Scheme Terms or at law, to immediately:
(i) cancel your Reward Scheme Card; and/or
(ii) suspend and/or terminate your Account.

2.6. By signing up to the Reward Scheme and/or activating your Account, you agree to receive:
(i) SMSs and/or push notifications from us.

2.7. You will ensure that no person under the age of 18 years will have access to your Account and/or Reward Scheme Card.

3. USAGE OF REWARD SCHEME
3.1. We reserve the right to change, modify, suspend or discontinue the whole or any portion of the Reward Scheme at any time. We may also impose limits on certain features or restrict your access to parts or the entire services or Reward Scheme without notice or liability.

3.2. You hereby acknowledge and agree that we shall not be responsible for examining or evaluating the venues recommended through the Reward Scheme. We are also not responsible for validating or confirming the availability of the venue both regarding availability and operating hours.

3.3. Scan your Reward Scheme Card at point of purchase in a participating Pub Perks outlet to benefit from current benefits and offers. Offer Terms for current benefits and offers can be found on the Reward Scheme Website. We reserve the right to amend or cancel benefits and offers may change from time to time so check the Reward Scheme Website regularly for full details on current benefits and offers.

4. INTELLECTUAL PROPERTY
4.1. Subject to the rights granted to you under the Reward Scheme Website Terms of Use, the copyright, patents, trademarks, registered designs and all intellectual property rights in the Reward Scheme and all content shall vest in and remain with us and our licensors.

4.2. You shall not reproduce, display or otherwise provide access to the Reward Scheme, or content, without our prior written consent.

4.3. Any other use of the materials in respect of the Reward Scheme, including modification, distribution, or reproduction for purposes other than those noted above, without our prior written permission, is strictly prohibited.

4.4. The trademarks, logos and service marks (“Marks”) used in this Reward Scheme are our and/or the property of other third parties, and all rights to the Marks are expressly reserved by us and/or the relevant third parties. You are not permitted to use our name or any Marks, including in any advertising or publicity or as a hyperlink, without our prior written consent or the consent of the relevant third party.

5. DISCLAIMERS & LIMITATIONS
5.1. While we make every effort to ensure that the Reward Scheme, and all content is accurate and complete, we provide the Reward Scheme, and content on an ‘as is’, ‘as available’ basis only without warranties of any kind either express or implied. We cannot be held liable for any inaccurate information that you may receive.

5.2. All conditions, representations, and warranties, whether express, implied, statutory, or otherwise including, but not limited to, any limitation, any implied warranty or merchantability, fitness for a particular purpose, compliance with description, or the warranty of non-infringement of third party rights, are hereby disclaimed to the fullest extent permitted by applicable law.

5.3. We do not warrant that the functions contained in or access to the Reward Scheme, services, content or other content will be timely, accurate, uninterrupted, error-free, or without omission, or that the Reward Scheme, services, or content are free of viruses or other harmful components, or that the download, installation or use of the any Content in or with any device will not affect the functionality or performance of the device.

5.4. You agree that:
(i) access to or the operation of the Reward Scheme may from time to time be interrupted or encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors; and
(ii) the Reward Scheme may be subject to limitations, delays, and other problems inherently and in any such event, we shall not be liable for any loss, liability or damage, which may be incurred as a result.

5.5. In no event shall we be liable to you for any damages, losses, expenses, liabilities under any causes of action (whether in contract or tort including, but not limited to negligence, or otherwise) caused through the use of, or the inability to participate in the Reward Scheme.

5.6. Notwithstanding any provision to the contrary, in no event shall we be liable for any loss of profits or anticipated earnings or savings, loss of goodwill, loss of use, business interruption, increased cost of working and wasted efforts or expenditure, consequential, indirect, or special damages and all associated legal costs, arising out of and/ or in connection with your use of and/or your inability to use, the services, Reward Scheme or content, or any other website or device. We will also not be liable for any loss, damage or injury that may occur at the venue or location that you choose to attend.

5.7. You agree to indemnify, defend and hold us harmless from and against any and all losses, costs, charges, expenses, damages, claims and liabilities paid, incurred or suffered by us arising out of or in connection with the use of the Reward Scheme and/or your breach of any of these Reward Scheme Terms.

6. SUSPENSION AND TERMINATION
You agree that we have the right in our sole and absolute discretion and without prior notice or liability to:
(i) restrict, suspend, or terminate your access to all or any part of the Reward Scheme; and/or
(ii) terminate, deactivate or suspend your Account and/or Reward Scheme Card, delete your Account and all related information and files in your Account, without assigning any reason.

7. FORCE MAJEURE
We will not be liable hall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labour or materials.

8. GENERAL
8.1. The invalidity or unenforceability for any reason of any of these Reward Scheme Terms shall not prejudice or affect the validity or unenforceability of the remaining parts and each part of the Reward Scheme Terms is distinct and at all times severable from the rest of these Reward Scheme Terms.

8.2. Nothing in these Reward Scheme Terms shall be construed to create a relationship and/or partnership and/or agency between you and us.

8.3. Any indulgence on the part of us in respect of any breach of any of the Reward Scheme Terms by you shall not constitute a waiver in respect of any such breach or any subsequent breach whether of the nature of otherwise.

8.4. These Reward Scheme Terms shall be governed by and construed in accordance with the laws of the England and you hereby agree to submit to the exclusive jurisdiction of the courts of England.
